Commercial Terms & Conditions
These Terms & Conditions apply to commercial (business-to-business) customers of Aura Awnings, including hospitality, retail, developers, main contractors, property managers, offices and other non-consumer buyers. They set out the agreement between you ("the Customer") and Aura Awnings for the supply, manufacture and installation of bespoke awnings, pergolas, canopies and related shading products.
Aura Awnings is a trading name of Shutterlove South Ltd, a company registered in Scotland (Company No. SC595385) with its registered office at 5 South Charlotte Street, Edinburgh, EH2 4AN. In these Terms, "Aura Awnings", "we", "our" and "us" mean Shutterlove South Ltd trading as Aura Awnings.
These Terms apply to the exclusion of any terms or conditions the Customer seeks to impose, including on any purchase order, order acknowledgement, specification or similar document. By placing an order, paying a deposit or issuing a purchase order referencing our Quotation, the Customer accepts these Terms.

1. Definitions
- "Aura Awnings", "we", "our", "us" — Shutterlove South Ltd, trading as Aura Awnings.
- "Customer", "you", "your" — the business named on the Quotation, order or purchase order.
- "Products" — the awnings, pergolas, canopies, motors, controls, accessories and other goods described in the Quotation.
- "Quotation" — the written estimate or quote issued by us setting out the specification and price.
- "Contract" — the legally binding agreement between us and you, formed as set out in clause 2.
- "Site" — the location at which the Products are to be installed.
- "Principal Contractor" — the person appointed as principal contractor for the purposes of the Construction (Design and Management) Regulations 2015 ("CDM 2015"), where those regulations apply.
- "Practical Completion" — has the meaning given in clause 18.
2. How the Contract is formed
- You request a Quotation via our website, phone, WhatsApp or email.
- We issue a written Quotation, valid for 30 calendar days from the date of issue.
- Where required, we carry out a site survey to confirm dimensions, fixings and installation feasibility.
- The Contract is formed only when you have accepted the Quotation (or any revised Quotation) and we have received the required deposit as cleared funds, or you have issued a purchase order referencing our Quotation and we have confirmed it in writing. Until that point we are not obliged to manufacture, order materials or allocate an installation date.
- Quotations are an invitation to treat, not a legally binding offer. These Terms prevail over any conflicting terms on the Customer's purchase order or documentation, unless expressly agreed otherwise in writing signed by a director of Shutterlove South Ltd.
3. Quotations
- Quotations are valid for 30 calendar days from the date of issue unless otherwise stated in writing.
- After 30 days we reserve the right to amend or withdraw a Quotation to reflect changes in material costs, supplier pricing, labour costs or other factors outside our reasonable control.
- All Quotations are subject to a final site survey. If the survey identifies structural or access considerations, the price and specification may need to be adjusted under clause 5.
- Prices are quoted in pounds sterling and are exclusive of VAT unless expressly stated otherwise.
4. Site survey
We confirm all measurements, fixing methods and installation feasibility during the site survey before manufacture. You are responsible for providing accurate site information and disclosing before the survey any known hidden services, unusual construction methods, previous structural repairs, party-wall considerations or other information that could affect the installation.
5. Revised Quotations
If the site survey identifies that the original Quotation cannot be fulfilled as specified — or that additional materials, labour, specialist fixings, structural supports, access equipment or other works are required — we will issue a revised Quotation. No manufacture or installation will proceed until you have accepted the revised Quotation in writing and any revised deposit has been received. The original Quotation becomes void once a revised Quotation is issued.
6. Variations
Changes requested after the Contract is formed (fabric, colour, size, controls, lighting, heating, accessories or other specification changes) will result in a revised Quotation and may extend lead times. Changes may not be possible once manufacture has begun.
7. Bespoke, made-to-order goods
Products are manufactured to your specific requirements. Manufacture will only commence once:
- the site survey has been completed;
- all measurements have been confirmed by us;
- the final specification has been agreed; and
- the required deposit has been received as cleared funds.
From that point the Products are bespoke. Cancellation is limited (see clause 21).
8. Product availability, manufacturer changes and natural variations
- If a fabric, motor or component is discontinued or unavailable before manufacture, we will offer the nearest suitable alternative or cancel and refund monies received in respect of the affected item.
- We reserve the right to use updated manufacturer components where these are equivalent or superior.
- Small variations in colour and finish between samples, digital images and the finished Product are normal manufacturing tolerances, not defects.
9. Payment terms
Unless otherwise agreed in writing (including by email), the standard payment schedule is:
- 60% deposit on acceptance of the Quotation.
- 30% stage payment once the Products have been manufactured and are ready for installation. This must be received before installation is booked or the Products are dispatched.
- 10% final balance payable within 7 days of Practical Completion.
For larger developer, contractor and multi-site projects, alternative payment schedules and stage/valuation-based payment arrangements may be agreed in writing before the order is accepted.
Accepted methods: BACS and (subject to agreement) debit/credit card. All invoices are payable in cleared funds without deduction, set-off or counterclaim (except as required by law).
Retention of title: ownership of the Products remains with us until we have received payment in full for the relevant order and any other sums due from you.
10. Late payment (business customers)
If any invoice is not paid by its due date:
- we may suspend manufacture, delivery, installation and any other services under this or any other contract with you until outstanding sums are received;
- interest and reasonable recovery costs accrue in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 (currently 8% above the Bank of England Base Rate, plus statutory compensation);
- you are responsible for our reasonable legal, administrative and collection costs incurred in recovering unpaid sums;
- we may terminate the Contract and remove or repossess Products in which title has not passed to you.
11. Manufacture and delivery lead times
Manufacture lead times are typically 2–4 weeks depending on specification, with installation booked as soon as reasonably practicable thereafter. All dates given are estimates. Delays outside our reasonable control (adverse weather, supplier or logistics issues, or events under clause 27) may occur; we will keep you informed if this happens.
12. Customer installation date changes
If the Customer changes or cancels an agreed installation date:
- More than 7 days' notice — no charge.
- 3–7 days' notice — we may recover any reasonable costs already incurred (hired access equipment, accommodation, parking permits, subcontractors, etc.).
- Less than 48 hours' notice, or no access on arrival — we may treat this as an aborted installation and charge for wasted labour, travel, plant hire and any other reasonable costs, together with the cost of returning to Site.
13. Weather postponement
We reserve the right to postpone or reschedule any survey, delivery or installation where, in our reasonable opinion, weather conditions make it unsafe or impractical to carry out the works (including high winds, rain, snow or ice, lightning, extreme temperatures, or any other conditions that could compromise the safety of the installation team, the Customer, the public, or the quality of the installation). Such postponement is not a breach of Contract and we are not liable for any direct or indirect losses arising from a weather-related delay.
14. Installation scope and access
- Installation covers fitting the Products and connection to a pre-supplied outdoor socket or spur within reasonable reach of the motor. We do not install new spurs, run new electrical feeds or extend power circuits unless expressly agreed and quoted. Electrical work can be arranged via our trusted electricians as a separate, chargeable service.
- Installations are carried out by our team and approved third-party installers whose workmanship we stand behind.
- We take reasonable care but are not liable for minor superficial marks to paintwork, plaster or surfaces that can occur during standard fitting.
15. Commercial Site requirements
For commercial installations, the Customer (or, where relevant, the Principal Contractor) is responsible, at its cost, for providing where applicable:
- Safe access to the installation area and to the Site generally.
- Site inductions and any required security or access permits.
- Welfare facilities (WCs, break area, drinking water) in accordance with the Construction (Design and Management) Regulations 2015 and the Workplace (Health, Safety and Welfare) Regulations 1992.
- Parking permits, road closures, loading bay bookings and any local-authority consents.
- Working-hours restrictions notified to us in writing in advance.
- Lifting plans where required, and a suitably qualified competent person to review them.
- Scaffolding, MEWPs, cranes, cherry pickers and other specialist access equipment, unless specifically included within our Quotation.
- A competent site representative with authority to make decisions on the day of installation and to sign off Practical Completion.
We will provide a RAMS (Risk Assessment and Method Statement) document on request and where appropriate for the works being undertaken. Any delays caused by site restrictions, unavailable access, failed inductions or unavailable welfare facilities may result in additional charges under clause 12.
16. Construction (Design and Management) Regulations 2015
Where CDM 2015 applies to the project, the Customer is responsible for making all appointments and notifications required under those regulations, including appointing the Principal Designer and Principal Contractor where applicable. We will provide reasonable co-operation and any pre-construction information reasonably required from us in respect of our Products and installation methodology.
17. Structural suitability, alternative advice and risk acceptance
We will assess the proposed installation location during the site survey and recommend a fixing method that we consider appropriate. Where we believe additional structural supports, spreader plates, steelwork, specialist fixings or other measures are required, these will be included in the Quotation or a revised Quotation.
If the Customer chooses not to proceed with our recommended structural solution, the Customer may, at its own expense, obtain advice from a suitably qualified structural engineer. Where the Customer instructs us in writing to proceed using an alternative fixing method against our recommendation, we may:
- decline to undertake the installation; or
- agree to proceed strictly in accordance with the Customer's written instructions.
Where we agree to proceed following such written instructions, the Customer acknowledges that the installation is being carried out contrary to our recommended specification and accepts responsibility for the structural adequacy of the supporting structure and the alternative fixing method. We remain responsible for the quality of our workmanship only. Where this applies, we may ask for a signed Structural Risk Acceptance Form before installation proceeds.
18. Practical Completion and acceptance
Practical Completion means the Products have been fully installed, tested, commissioned (where applicable), demonstrated to the Customer or its representative where present, and are safe and fit for their intended purpose — even if there are minor cosmetic defects or snagging items that do not materially affect safe operation or intended use.
Operating instructions, maintenance guidance, warranty information and product care information are available on the Aura Awnings website. The Customer is responsible for familiarising itself and its staff with these documents.
The Customer must inspect the installation and notify us of defects or snagging items within 7 days of Practical Completion. Failure to notify within this period constitutes acceptance of the installation. Minor snagging items do not entitle the Customer to withhold the entire outstanding balance, although the parties may agree to retain a reasonable sum until snagging items are completed.
19. Hidden defects and existing damage
We will exercise reasonable skill and care during all works. However, we cannot accept responsibility for damage arising from concealed services or utilities not disclosed or reasonably identifiable during survey; pre-existing structural defects; existing cracks, unstable render, defective masonry, rotten timber or other latent defects; hidden steelwork; asbestos or other hazardous materials; previous poor workmanship by others; or inaccurate information supplied by the Customer or third parties.
If a hidden condition prevents safe completion, we will pause the works and agree next steps before continuing. Additional works to remedy hidden conditions are chargeable.
20. Suspension for safety
If we reasonably believe that continuing an installation would present a safety risk to persons, property or the Products, we may suspend or terminate the installation until the issue has been resolved.
21. Cancellation
The Consumer Contracts Regulations 2013 do not apply to business-to-business contracts.
- The Customer may cancel before the deposit is paid, at no cost.
- Before manufacture has commenced: we will refund the deposit, less any reasonable costs already incurred.
- Once manufacture has commenced: the Products are bespoke and cannot be cancelled. We may retain all monies paid and recover any additional costs reasonably incurred (materials ordered, labour committed, cancellation charges from suppliers, storage and disposal).
22. Delayed installation (products ready but not yet installed)
Once the Products have been manufactured, the 30% stage payment remains payable whether or not the Customer requests a delay to installation. We will store the Products free of charge for up to 30 days from the date they are ready for installation. After 30 days, reasonable storage fees may apply. If the delay continues beyond 90 days, the remaining balance may become due in full before installation.
23. Warranty
- Cassette and motor: 5 years.
- Fabric: 10 years.
- Installation workmanship: 12 months from installation.
Manufacturer warranties and our installation workmanship warranty are separate, each subject to its own conditions. The warranty does not cover:
- Operation outside the manufacturer's stated wind or weather limits.
- Failure to follow the operating or maintenance instructions.
- Failure to replace wind/rain sensor batteries.
- Lack of routine maintenance or cleaning.
- Accidental damage, misuse, abuse or vandalism.
- Alterations, repairs or additions carried out by anyone other than Aura Awnings or an authorised representative.
- Structural movement or failure of the building, or hidden conditions covered by clause 19.
- Damage caused by third-party contractors.
- Storm, flooding, lightning or extreme weather beyond the Product's design limits.
- Fair wear and tear, cosmetic ageing and normal fabric fading within expected tolerances.
- Damage from power surges or electrical faults not caused by us.
Warranty claims must be made in writing to info@auraawnings.com with photographs and a description of the issue. We must be given a reasonable opportunity to inspect and rectify the issue before the Customer instructs another contractor.
24. Wind, weather and safe operation
Awnings are shading products, not permanent weather shelters. The Customer must ensure that staff and users:
- Retract the awning in strong winds. Operating outside the manufacturer's specified wind class will damage the awning and is not covered by warranty.
- Do not leave the awning extended and unattended in adverse weather.
- Retract the awning during heavy or prolonged rain — pooling water can damage the frame and fabric.
- Do not extend the awning in snow.
- Where wind or sun sensors are fitted, replace sensor batteries at least once a year. Sensors are an aid, not a substitute for retracting the awning.
Damage caused by operation outside specified wind, rain or snow limits, or by failure to retract the awning in adverse weather, is not covered by warranty. For commercial and hospitality Sites we strongly recommend a documented awning-operation procedure and staff training.
25. Servicing and maintenance
To maximise the lifespan and safe operation of the Products, we recommend periodic inspection and servicing in accordance with the manufacturer's recommendations. Failure to carry out reasonable maintenance may affect warranty coverage. Ongoing servicing is not included in the purchase price unless expressly agreed in writing. We offer commercial service contracts as a separate, chargeable service.
26. Photography of installations
We regularly photograph completed installations for use on our website, social media, brochures, case studies and marketing materials. Photographs typically show the awning and the immediate surroundings and may include external branding, signage and shop-front elements visible from the public highway. Unless the Customer notifies us in writing before installation that it does not want its installation to be photographed for marketing purposes, the Customer agrees that we may photograph and use images of the completed installation. The Customer can opt out at any time by emailing info@auraawnings.com.
27. Force majeure
Neither party is liable for delay or failure to perform its obligations (other than obligations to pay money) where this is caused by events beyond its reasonable control, including severe weather, fire, flood, pandemic, industrial action, transport disruption, supplier failure, cyber-attack, power outages or acts of government. Where such an event continues for more than 90 days, either party may terminate the Contract on written notice.
28. Limitation of liability (business customers)
Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
Subject to the above:
- We are not liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss of profit, loss of business, loss of anticipated savings, loss of contracts, loss of goodwill, loss of use, wasted expenditure, business interruption or any indirect, special or consequential loss.
- Our total aggregate liability arising out of or in connection with the Contract is limited to 100% of the price paid by the Customer for the Products and installation under the relevant order.
The Customer is responsible for its own business insurance covering trading losses, interruption and consequential damage.
29. Complaints and dispute resolution
- Complaints should be sent to info@auraawnings.com with the order reference, description and photographs where appropriate.
- We will acknowledge complaints within 3 working days and aim to provide a full response within 14 working days.
- The Customer must give us a reasonable opportunity to inspect the issue before arranging repairs through another contractor. Costs incurred with other contractors without giving us that opportunity will not be reimbursed unless agreed in writing.
- The parties agree to attempt to resolve any dispute by good-faith discussion between senior representatives before commencing proceedings.
30. CGI, AI visualisations and product photography
Product photographs, brochure images, CGI renders and AI-generated visualisations produced or shared by us are illustrative only. The finished installation may differ in colour, texture, scale, shadow and appearance due to lighting, camera, screen calibration, building context and natural material variation.
31. Intellectual property
All quotations, surveys, drawings, designs, CGI renders and other materials produced by us remain our intellectual property unless expressly agreed otherwise in writing. The Customer receives a non-exclusive licence to use them solely to assess and perform the Contract.
32. Confidentiality
Each party will keep confidential all commercially sensitive information disclosed by the other party in connection with the Contract, and use it only for the purposes of performing the Contract.
33. Data protection
We process personal data in accordance with UK GDPR and the Data Protection Act 2018. Full details are set out in our Privacy Policy.
34. Planning permission and consents
The Customer is responsible for obtaining all planning permissions, landlord consents, freeholder consents, party-wall agreements, listed-building consents, conservation-area consents, licensing authority consents (e.g. tables and chairs licence) and any other consents required for the installation and operation of the Products.
35. Assignment and third-party rights
The Customer may not assign or transfer the Contract without our prior written consent. The Contracts (Rights of Third Parties) Act 1999 does not apply to the Contract, and no one other than a party to the Contract has any right to enforce any of its terms.
36. Entire agreement
The Contract constitutes the entire agreement between the parties in respect of its subject matter and supersedes any prior representations, agreements or understandings.
37. Governing law and jurisdiction
These Terms & Conditions and any dispute arising out of or in connection with them (including non-contractual disputes) are governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales.
